Andromeda Acquires e-commatrix.com® inc.

  
May 7, 2002 TORONTO, ONTARIO--Andromeda Media Capital Corporation ADACF -Andromeda is pleased to announce that it has acquired all of the issued andoutstanding shares and warrants of e-commatrix.com® inc., a private federalcorporation, thus making e-commatrix.com® inc. a wholly-owned subsidiary of Andromeda. In exchange for all of the issued and outstanding shares and warrants of e-commatrix.com® inc., Andromeda has issued a total of 25,000,000 common shares and 7,000,000 share purchase warrants to the former shareholders and warrant holders of e-commatrix.com® inc., thus bringing Andromeda's total outstanding capitalization to 31,000,000 common shares.
e-commatrix.com® inc. is an eSolutions company that has been developing and selling proprietary, turnkey Web and custom applications since 1999. It addresses the often-overlooked needs of Small- and Medium-sized Enterprises (SMEs) that have modest budgets with a portfolio of low-maintenance, packaged  Internet products. It also provides clients with the ability to retain proven Internet marketing, commerce and business applications immediately through an Application Service Provider model (ASP), rather than having to dip into shrinking capital budgets.
Andromeda is determined to focus all of its current efforts in the furtherance of the opportunities available to it through the acquisition of e-commatrix.com® inc. Andromeda hopes to assist e-commatrix.com® inc. by committing both financial and human resources to work with the existing management team already in place in e-commatrix.com® inc.
